Please read these Terms and Conditions carefully before using the services operated by Prime Climate Partners Corp.. Your access to and use of our services is conditioned on your acceptance of and compliance with these Terms.
1. Agreement to Terms
By accessing or using the website, products, and services offered by Prime Climate Partners Corp. ("Prime Climate Partners," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any of our services. These Terms apply to all visitors, users, customers, contractors, dealers, and any other parties who access or use our services.
2. Services Overview
Prime Climate Partners provides wholesale and retail HVAC equipment distribution, residential and commercial installation services, maintenance plans, and related climate control solutions across Canada. Our services include but are not limited to: factory-direct equipment procurement and distribution, TSSA-certified system installation, equipment consultation and system design, warranty administration, and ongoing maintenance services. All services are subject to availability and applicable provincial and federal regulations.
3. Account Registration
Certain features of our services require you to create an account. When you create an account, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised. Wholesale and dealer accounts are subject to additional verification and credit approval processes.
4. Product Information and Pricing
We make every effort to display product specifications, images, and descriptions as accurately as possible. However, we do not guarantee that product descriptions, pricing, or other content on our website is accurate, complete, reliable, current, or error-free. All prices are listed in Canadian Dollars (CAD) unless otherwise stated and are subject to change without notice. Wholesale pricing is available exclusively to approved dealer and contractor accounts and may vary based on volume, payment terms, and account standing. Quoted prices are valid for the period specified in the quote document. Taxes, shipping, and installation fees are additional unless explicitly included in a written quote.
5. Orders and Payment
All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraudulent activity. Payment terms for wholesale accounts are established during the account setup process and are subject to credit approval. Retail customers must provide payment at the time of order. Accepted payment methods include major credit cards, bank transfers, and certified cheques. Late payments on wholesale accounts may be subject to interest charges at a rate of 2% per month on outstanding balances.
6. Shipping and Delivery
We offer shipping to all Canadian provinces and territories. Delivery timelines are estimates and are not guaranteed. Standard in-stock orders typically ship within 24 to 48 business hours. Custom configurations and special orders may require 5 to 10 business days for processing. Risk of loss and title for items purchased from Prime Climate Partners pass to you upon delivery to the carrier. We are not responsible for delays caused by carriers, customs, weather, or other circumstances beyond our control. Free freight is available on qualifying orders as specified at the time of purchase. All shipments are fully insured during transit.
7. Returns and Exchanges
Unopened equipment in original packaging may be returned within 30 days of delivery for a full credit, subject to inspection. A 15% restocking fee applies to opened but unused units returned within the 30-day period. Equipment that has been installed, modified, or damaged after delivery is not eligible for return. Defective or incorrect items will be exchanged at no additional charge. All returns must be coordinated through your account manager or our customer service team. Return shipping costs are the responsibility of the customer unless the return is due to our error or a defective product.
8. Warranties
All equipment sold by Prime Climate Partners carries the full manufacturer warranty as specified by the respective manufacturer, which typically covers parts and compressor for 5 to 10 years depending on the product. In addition to manufacturer warranties, we provide our partner guarantee on all installed systems. Warranty claims are processed through Prime Climate Partners directly, and we handle all communication with manufacturers on your behalf. Warranty coverage requires that equipment be installed by a licensed and certified technician and maintained according to manufacturer specifications. Improper installation, lack of maintenance, misuse, or unauthorized modifications will void the warranty.
9. Installation Services
Installation services provided by Prime Climate Partners are performed by TSSA-certified and licensed technicians. All installations include necessary permits, inspections, and commissioning as required by provincial and local building codes. Our installation warranty covers workmanship for a period of one year from the date of installation completion. The customer is responsible for providing clear and safe access to the installation site. Additional costs may apply for structural modifications, electrical upgrades, or other work outside the scope of the original installation quote. We carry $5,000,000 in general liability insurance and maintain full WSIB compliance for all installation crews.
10. Intellectual Property
The website and its entire contents, features, and functionality, including but not limited to text, graphics, logos, images, and software, are owned by Prime Climate Partners Corp. or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website without our prior written consent.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Prime Climate Partners Corp. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) our services, any conduct or content of any third party on the services, any content obtained from the services, or unauthorized access, use, or alteration of your transmissions or content. Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount you have paid to us in the twelve months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Prime Climate Partners Corp., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms, your use of our services, or your violation of any rights of a third party.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the services shall be instituted exclusively in the courts of the Province of Ontario, and you consent to the personal jurisdiction of such courts.
14. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
